1. Agreement to Terms

By accessing or using Ridxo's limo dispatch software and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Services. These Terms apply to all visitors, users, and others who access or use the Services.

2. Description of Services

Ridxo provides cloud-based limo dispatch and fleet management software, including but not limited to:

• AI-powered dispatch and booking management
• Real-time GPS tracking and fleet monitoring
• Mobile applications for drivers and passengers
• Automated billing and invoicing
• Customer relationship management tools
• Reporting and analytics dashboards
• API integrations with third-party services

3. Account Registration

To use our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding the password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

Some aspects of the Services are provided on a subscription basis ("Subscription"). You will be billed in advance on a recurring basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis.

A valid payment method is required to process the payment for your Subscription. You shall provide accurate billing information including full name, address, and valid payment method. By submitting such payment information, you automatically authorize Ridxo to charge all Subscription fees to said payment method.

5. Product Demonstrations

Ridxo may offer a product demonstration before purchase. A demonstration does not create a paid subscription or require a credit card.

6. User Responsibilities

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the Services or servers
• Transmit any viruses, malware, or harmful code
• Collect or harvest any information from the Services
• Impersonate any person or entity
• Resell or redistribute the Services without authorization

7. Intellectual Property

The Services and their original content, features, and functionality are owned by Ridxo and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without express written permission.

8. Data Ownership

You retain all rights to your data. By using our Services, you grant Ridxo a limited license to use, process, and store your data solely to provide the Services. Upon termination of your account, you may request export of your data within 30 days.

9. Service Availability

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access. We may suspend access for maintenance, updates, or in case of security concerns. We will provide reasonable notice when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Ridxo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services.

11. Indemnification

You agree to indemnify and hold harmless Ridxo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
